Please read these terms and conditions (“Terms”) carefully before accessing or using AgentSafe for Real Estate services, including but not limited to agentsafe.cloud (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
These Terms apply to all visitors, users, and others who access or use the Service. You warrant that you are at least 18 years old and legally capable of entering into binding contracts. If you are under 18 years old, you warrant that you have obtained consent from a parent or guardian who agrees to be bound by these Terms on your behalf.
1. Subscriptions
Some parts of the Service are billed on a subscription basis. Subscription fees are charged in advance on a recurring basis, either monthly or annually, depending on your plan.
- Automatic Renewal: At the end of each billing period, your subscription will automatically renew under the same terms unless you cancel it or we terminate it.
- Cancellation: You may cancel your subscription at any time by contacting the AgentSafe for Real Estate customer support team. Cancellations do not relieve you of fees already incurred.
- Payment Method: You must provide a valid payment method, including credit card, debit card, or EFTPOS, to use the Service. Payments are processed securely through Stripe, a third-party payment processor. By providing your payment information, you authorise AgentSafe to charge all fees to the provided payment method. You acknowledge and agree that your use of Stripe is also governed by Stripe's terms of service and privacy policy.
- Failed Payments: If automatic billing fails, you will be invoiced and must pay the full amount by the specified due date.
2. Fee Changes
AgentSafe may change subscription fees at its sole discretion.
- Fee changes take effect at the end of the current billing cycle.
- Reasonable prior notice will be provided for any fee increase.
- Continued use of the Service after a fee change constitutes your acceptance of the new fee.
3. Refunds
Except where required by law, all fees are non-refundable.
4. Accounts and Security
When creating an account, you must provide accurate, current, and complete information.
- You are responsible for safeguarding your password and account information.
- You agree not to share your password or allow others to access your account.
- You must notify AgentSafe for Real Estate immediately of any unauthorized use of your account.
- AgentSafe for Real Estate is not liable for any loss or damage resulting from unauthorized account access.
5. Intellectual Property
All content, features, and functionality of the Service are the exclusive property of AgentSafe for Real Estate and its licensors.
- This includes all text, graphics, logos, software, and documentation.
- No rights, title, or interest in the Service or its content are transferred to you.
- You may not use our trademarks or trade dress without prior written permission.
6. Third-Party Links
The Service may include links to third-party websites or services.
- These links are for convenience only; they do not constitute endorsement.
- AgentSafe for Real Estate is not responsible for the content, privacy policies, or practices of third-party sites.
- You access third-party sites at your own risk.
7. AML/CTF and Privacy Compliance
AgentSafe for Real Estate is committed to complying with all applicable Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) laws, including obligations under AUSTRAC regulations. By using the Service:
- Verification Obligations: You agree to provide accurate and complete information for identity verification, as required under AML/CTF laws. AgentSafe for Real Estate may require you to submit identification documents or other information to comply with these obligations.
- Reporting: You acknowledge that AgentSafe for Real Estate may be required to report certain transactions, suspicious activity, or other information to AUSTRAC or other relevant authorities in accordance with AML/CTF obligations.
- Privacy Compliance: Personal information collected through the Service will be handled in accordance with the Privacy Act 1988 (Cth) and the AgentSafe Privacy Policy. This includes secure storage, limited access, and lawful use of personal information.
- User Responsibilities: You warrant that any information you provide is truthful and lawful. You must not use the Service to conduct or facilitate money laundering, terrorism financing, or any other illegal activity.
- Suspension or Termination: AgentSafe for Real Estate reserves the right to suspend or terminate accounts and deny access to the Service if there is a breach or suspected breach of AML/CTF obligations, without notice or liability.
8. Termination
AgentSafe for Real Estate may suspend or terminate your account at any time, without notice, for any reason, including breach of these Terms.
- Upon termination, your access to the Service will immediately cease.
- Provisions that by their nature should survive termination (such as indemnity, liability, and intellectual property provisions) will survive.
- AgentSafe for Real Estate is not liable for any damages arising from termination of your account.
9. Indemnification
You agree to indemnify, defend, and hold harmless AgentSafe for Real Estate, its affiliates, officers, employees, and licensors from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of applicable laws or the rights of others
This obligation survives termination of your account.
10. Limitation of Liability
To the maximum extent permitted by law:
- AgentSafe for Real Estate is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of business, profits, data, or goodwill.
- Our total liability will not exceed the total fees paid by you to AgentSafe for Real Estate in the 12 months preceding the claim.
- You are solely responsible for securing access to your devices, data, and equipment.
11. Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind.
- We do not guarantee uninterrupted, secure, or error-free access.
- We do not warrant that the Service will meet your requirements or expectations.
- Use of the Service is at your own risk.
12. Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. Where prohibited, these limitations do not apply.
13. Governing Law and Liability
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law rules.
AgentSafe for Real Estate provides software tools, links, and information sources relevant to work health and safety (WHS) and property safety compliance obligations, tailored to the applicable state or territory jurisdiction. While the software is designed for use across all Australian states and territories, users remain responsible for ensuring compliance with the laws and regulations of their specific jurisdiction.
AgentSafe for Real Estate is not a reporting entity under the AML/CTF Act. The software is provided solely to assist users in managing their compliance obligations. Users remain responsible for conducting any required customer due diligence and reporting suspicious matters to AUSTRAC or other authorities as applicable.
To the extent permitted by law, any dispute arising under these Terms must be resolved in the courts of New South Wales. However, if a user is located in another state or territory and local law requires, they may bring proceedings in the courts of that state or territory.
14. Changes to Terms
AgentSafe for Real Estate may revise these Terms at any time.
- Material changes will be communicated with at least 30 days’ notice.
- Continued use of the Service constitutes acceptance of any revised Terms.
